Applies to the hosted service at [domain] on the Free, Studio and Team editions. Enterprise Cloud and On-Premises are governed by their own agreements.
1. The agreement
By creating an account you accept these terms. If you accept on behalf of an organisation, you confirm you may bind it, and "you" means that organisation.
2. The service
UAML Studio is a hosted architecture-modelling tool. It produces models, specifications and exports. It does not build software. Any specification, schema, code or bundle it generates is a starting point that you are responsible for reviewing before use.
3. Editions, fees and changes
Editions and prices are published at [pricing URL]. Fees are exclusive of VAT unless stated. Monthly plans renew monthly, annual plans annually, until cancelled.
- Price changes take effect at your next renewal and we will give at least 30 days' notice. If you were subscribed before a rise, your rate is held for as long as your subscription runs without a break.
- Cancellation takes effect at the end of the paid period. We do not pro-rate part periods.
- Free may be changed or discontinued with 30 days' notice.
4. Your content, and it stays yours
You keep all rights in the models, diagrams, text and files you put into the service ("Your Content"). You grant us only the licence needed to host, process, back up and display it to you and to those you share it with, and to provide the features you use.
We do not use Your Content to train machine-learning models, and we do not sell it.
Export is unconditional. You can export your models in the open .uaml
format at any time, on any edition including Free, including while your
account is suspended or over a plan limit. Exceeding a limit may make a model
read-only; it will never make it unreadable or unexportable.
5. AI features
Some features send Your Content to a third-party model provider to generate a response. Providers are listed in our sub-processor list [URL]. Output is generated, may be wrong, and must be reviewed before you rely on it. You are responsible for what you do with it.
6. Acceptable use
Do not: break the law; infringe others' rights; upload malware; attempt to breach or overload the service; reverse engineer it or try to extract its source; resell or provide it to third parties as a service; or use it to build a competing product.
Automated access is permitted only through documented interfaces and within published rate limits.
7. Availability
We aim for high availability but the Free, Studio and Team editions carry no service-level guarantee. An SLA is available with Enterprise. We may take the service down for maintenance and will give notice where we can.
8. Suspension and termination
We may suspend or close an account for non-payment or for breach of clause 6, with notice where circumstances allow. On termination you have 30 days to export Your Content before deletion, except where we must retain it by law.
9. Our intellectual property
The service, the editor and everything in it except Your Content is ours or our licensors'. These terms grant no licence to our software beyond using the hosted service. The UAML format specification, the reference parser and printer and the read-only viewer are published separately under MIT; nothing here restricts your rights under that licence.
10. Warranties
The service is provided "as is". To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited — including your non-waivable rights if you are a consumer.
Subject to that: neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or data (beyond our restoration duties); and our total liability in any twelve-month period is capped at the fees you paid us in that period. For the Free edition, that cap is [EUR 100].
12. Changes to these terms
We may change these terms and will give at least 30 days' notice of material changes. Continuing to use the service after they take effect is acceptance. If you do not accept, cancel before then and we will refund any unused prepayment.
13. Law and jurisdiction
Governed by the laws of the Netherlands. Disputes go to the competent court in [city], except that a consumer may bring proceedings in their country of residence and enjoys the protection of its mandatory rules.
